PUBLIC COMPETITION FOR SUPPORT INSTRUMENT: CO-FINANCED GRANTS FOR NEWLY ESTABLISHED TRADE COMPANIES START-UP AND SPIN-OFF - Start-up3!

This Instrument is expected to encourage the development of a culture of risk-taking and innovation, to provide support to legal entities wishing to develop a new or improved product, process, and/or service, as well as to encourage the commercialization of the results obtained from researches conducted within the higher education or a scientific and research institutions.

Support shall be given to projects that have at least a proof of concept and a clear ambition for commercialization.

The instrument shall support projects that are in the confirmed concept phase up to the pre-commercial (pre-market) phase.

• research and development activities;
• development of pilot lines/product/s and/or service/s;
• activities for testing and validation of new and/or improved products/services/processes;
• activities for market testing and validation of potential customers;
• activities related to intellectual property protection and
• design.
•  

• to be a trade company in accordance with the Law on Trade Companies and registered in the Central Registry of the Republic of North Macedonia or a team consisting of a maximum of 5 (five) members – natural persons;

In cases when a trade company is registered as an applicant, it should meet the following eligibility criteria:

• the annual income of the applicant should not exceed 1,000,000 (one million) euros in denar counter value, according to the financial reports for the previous two fiscal years;
• the average number of employees should not exceed 250 employees;
• more than 6 (six) years should not have passed from the moment of registration of the trade company until the moment of submission of the project proposal to the Fund;
• the trade company should be owned by a natural person and/or a legal entity (that is not state-owned), / an association or foundation and/or an institution performing a higher education, i.e., scientific and research activity (with ownership share of the applicant of up to 20%);
• • the applicant or its partners/shareholders should not be direct or indirect owners of over 20% in another trade company/companies whose individual annual income exceeds 1,000,000 (one million) euros in denar counter value in the previous two fiscal years and whose average individual number of employees does not exceed 250 employees, except in the case of affiliation with a higher education, i.e., scientific and research institution;
• there should be no bankruptcy or litigation proceedings initiated against it;
• it should have all due liabilities on the basis of public duties and contributions settled;
• there should be no proceedings for forcible enforcement of overdue monetary claims initiated against it;
• in accordance with the Law on State Aid Control and the Regulation on the requirements and the procedure for granting de minimis aid, it should meet the following requirements:
•   it should not have more than 200,000 (two hundred thousand) euros accumulated of de minimis aid for a period of three fiscal years, including the requested amount of funds from the Fund;
• it should not have more than 100,000 (one hundred thousand) euros accumulated of de minimis aid for a period of three fiscal years, including the requested amount of funds from the Fund, if the company is active in the road transport sector;
• it should not be in difficulty (an enterprise in difficulty is an enterprise that is unable to meet its obligations from its own resources or with funds it may receive from its owner/shareholders or creditors in order to stop the losses that without the external intervention of providers of aid will certainly lead to a short-term and long-term termination of the operation of the enterprise) and
• it should not be engaged in coal production.

In case a team appears as an Applicant and whose project proposal has passed the selection phase, the Applicant is obliged within 30 calendar days after receiving the Notice for selection of a project proposal, to establish a company in which the founders shall be at least 51 % of the team members, which company shall assume all rights and obligations in relation to the implementation of the Project and which shall meet the eligibility criteria of this Article.

• Gross salaries with included salary allowances defined in accordance with the Law on Labour Relations (working on holidays, on Sundays, shift work, night work, etc.) for persons who are or will be employed by the beneficiary or directly participate in the implementation of the project. The amounts of the gross salaries for the employees engaged in the project should correspond to the established practices of the beneficiary prior to the start of the project, reduced by the amount of a potential state subsidiary received on the basis of salary;
• Procurement and/or rental of equipment and consumables for research and development;
• Subcontracting research and development services (e.g., testing, laboratory services, etc.);
• Hiring research and development experts/advisors;
• Engaging consultants for needs directly related to the expected results of the project (expertise related to innovation management, financial management, mobilization of funds, business development, marketing expertise for market testing and validation of potential customers, legal affairs, intellectual property protection, etc.);
• Preparation and filing of a patent application, trademark and/or industrial design protection;
• Office and business support (rental of office space, overhead costs, bank fees, accounting services, hosting and other types of operating costs related to the implementation of the project) in a maximum amount of 15% of the total project budget.

• costs for procurement of goods, services and works from domestic public enterprises, with the exception of overhead costs;
• costs for interest or debt of another party;
• expenses and provisions for past or possible future losses or debts;
• coverage of losses due to currency exchange, fees and penalties;
• food and hospitality costs;
• staff recruitment costs (costs for publishing job announcements, commissions from employment agencies, costs related to the selection of candidates, etc.) and relocation costs;
• purchase of land or buildings, including renovation;
• cash payment from the designated project account;
• export activities (costs directly related to export of products, establishment and operation of a distribution network and the like or other current costs of the applicant related to export activities);
• annual patent maintenance fees (with the exception of well-justified cases assessed as an allowable cost in the evaluation of the project proposals);
• salary allowances in the form of a compensation for annual leave, thirteenth salary, work performance, etc.;
• costs for consulting services provided by the owner/s of the beneficiary and the authorized persons of the Beneficiary (manager/director);
• costs for consulting services provided by persons employed by the Beneficiary;
• lease of business premises from a lessor that participates in the project activities or is a person associated with the beneficiary;
• procurement of freight transport vehicles by companies that provide freight road transport for rental or for a fee;
• procurement of passenger vehicles (with the exception of well-justified cases assessed as an allowable cost in the evaluation of the project proposals);
• costs for procurement of used equipment;
• value added tax (VAT) for all procurements referred to in paragraph 1 of this Article;
• direct marketing costs and
• costs for implementation of activities that were previously financed from other sources.

• Through this instrument, the Fund for Innovation and Technology Development (hereinafter “the Fund”) shall provide:

  • up to 90% (ninety percent) of the total project budget, but not more than 40,000 (forty thousand) EUR in denar countervalue for companies up to 3 (three) years of existence until the moment of application or for a company that shall be established within 30 days after receiving the Notice for selection of a project proposal (in case a team appears as an applicant), i.e.
  • up to 85% (eighty five percent) of the total project budget, but not more than 60,000 (sixty thousand) EUR in denar countervalue for companies with over 3 (three), and less than 6 (six) years of existence until the moment of application.

  The remaining amount (10% (ten percent) or 15% (fifteen percent)) of the total project budget should be provided by the applicant.

The duration of the project can be up to 12 (twelve) months.

 When applying, please submit:

• application Form;
• project Budget;
• applicant’s statement on acceptance of the Fund’s requirements;
• environmental questionnaire, and
• notarized statement of ownership-founding structure of the Applicant (except in the case when a team appears as an applicant, it is submitted after the establishment of the company);
• short CVs of the persons part of project team engaged in the project (maximum for 5 (five) people).

The project application, project budget and CVs should be submitted in Macedonian and English (in PDF and Excel format) and attached to the application form by clicking on the “Apply” button”.

Other documentation related to the applicants should be submitted only in Macedonian.

. Дали е прифатливо експертите/консултантите кои би ги ангажирале за реализација на проектот, да бидат странци?

Yes, you may hire external persons, natural persons or legal entities from the country and abroad for the purpose of project realization.

   2. Дали мора сите ставки во буџетот на проектот да бидат пополнети?

Буџетот на проектот го пополнувате само во оние ставки каде предвидувате трошоци за реализација на проектот. Не е задолжително сите ставки да бидат пополнети.

   3. Дали можам потребното сопствено учество да го обезбедам преку кредит од банка?

Сопственото учество може да биде обезбедено од сопствени средства или кредит од комерцијалите банки. Само средствата добиени од Фондот по било кој друг основ или било која друга форма на државна помош не се прифатливи како кофинансирање од страна на апликантот.

   4. Дали може проектниот тим да брои еден член?

Согласно правилникот на овој повик може да аплицира проектен тим, што значи минимум двајца, а најмногу 5 (пет) членови-физички лица. Доколку проектниот тим биде избран за ко-финансирање, ќе има рок  од 30 дена да го основа друштвото со сопственичка структура од најмалку 51% од проектниот тим.

   5. На кој јазик треба да биде видеото што треба да се достави со апликацијата?

Со оглед на тоа дека проектите се евалуираат од Комитетот за одобрување на инвестиции, составен од 5 странски експерти, потребно е видеото да биде снимено на англиски јазик.

   6. Дали може ист тим да аплицира за повеќе проекти? 

Секако дека може, меѓутоа внимавајте на процентот на ангажираност на лицата, како и тоа дали ист тим ќе има капацитет да реализира во исто време повеќе проекти.

   7. Што означува поимот „потврден концепт“?

„Потврден концепт“ е спроведување на конкретен метод или идеа со цел да се прикаже неговата одржливост или да се докаже дека тој има потенцијал за практична примена. Нивото на развој на концептот е различен за секоја индустрија односно одделен проект може да биде демонстриран на различен начин.

   8. Дали добитникот на грант треба веднаш и во целост да го обезбеди својот дел од ко-финансирањето од самиот почеток на проектот?

Корисникот на ко-финансиран грант не е задолжително да го обезбеди во целост својот дел пред почетокот на реализацијата на проектот. Согласно текстот на повикот и правилникот за инструментот, средствата се исплаќаат на квартална основа, во согласност со одобрениот буџет на проектот авансно за секој квартал. Апликантот го уплаќа сопственото ко-финансирање 10% односно 15% од сумата предвидена за кварталот, по што се исплаќаат и средствата од ФИТР од одобрениот буџет за кварталот.

   9. Согласност планираните трошоци за активностите за предлог проектот со кој сакаме да аплицираме, при набавка на добрата и услугата кои надминуваат одреден износ кога треба да се соберат понудите?

Понудите не е неопходно да се достават во процесот на аплицирање, но би било корисно да ги имате бидејќи на тој начин ќе можете попрецизно да го предвидите буџетот.

  10. Дали трошокот за наем на простор е прифатлив трошок?

Канцелариска и деловна поддршка во која спаѓа и наем на деловен простор, режиски трошоци, банкарски провизии, сметководствени услуги, хостинг и останати видови на административни трошоци во максимален износ од 15% (петнаесет проценти) од вкупниот буџет на проектот се сметаат за прифатлив трошок. Средствата за канцелариска и деловна поддршка се доделуваат на квартална основа, како вкупен износ, за подставките за кои постои доказ за направен трошок.

  11. Дали постои судир на интереси при изнајмувањето на просторот?

Не може да се изнајмува деловен простор од закуподавец кој учествува во активностите на проектот или е поврзано лице со корисник.

  12. Дали на повикот може да аплицира компанија која е веќе добитник на грант од претходен повик на ФИТР а ги исполнува критериумите за учество?

На повикот може да учествува компанија која е веќе е финансиски поддржана во рамките на друг повик на Фондот доколку ги исполнува сите критериуми за подобност, но предлог проектот мора да биде различен од оној за кој веќе добила грант за ко-финансирање.

  13. Може ли постоечки вработени да бидат ангажирани за проектот?

Доколку лицата кои ќе бидат ангажирани на проектот се веќе вработени во компанијата, може да ги вклучите во проектниот буџет во ставката плати.

  14. Што ако се смени некој од вработените во текот на времетраењето на проектот?

Со оглед на тоа дека капацитетот на проектниот тим е еден од критериумите при оценување на апликацијата, вработениот мора да биде заменет со лице со соодветни квалификации, ќе треба да се достави барање за промента до мониторинг тимот на ФИТР, кое ќе го проследи на одобрување од страна на Комитетот за одобрување на инвастиции.

  15. Што ако проектот има потреба од промени во текот на времетраењето на проектот?

Секоја промена на проектната апликација и буџетот на проектот (промени во планот на активности, клучните луѓе на проектот, пренамена на средства во износ повисок од 15%  (петнаесет проценти) помеѓу буџетските ставки од вкупниот буџет на проектот, итн.) треба да биде претходно одобрено од страна на Комитетот врз основа на барање поднесено од страна на Корисникот со прилог ревидиран буџет на проектот.

 16 .Дали претпријатие ДООЕЛ основано од странец сопственик може да аплицира на овој јавен повик?

Yes, it can if the company is established pursuant to the Law on Trading Companies and registered in the Central Registry.

 17. Дали средствата добиени од овој повик се повратни?

Финиасиските средствата од овој повик Стартапувај3 се неповратни.

 18. As of 06.04.2021, 14:00.али можам да вработам  лица на пола работно време?

 Да, лицата може да бидат вработени на цело или на пола работно време, на определено или на неопределено.

 19. Дали може да аплицираат физички лица (тим од 2 лица) коишто се веќе во работен однос во друга компанија со идеа за старт ап, и доколку ја помине фазата на селекција дали мора и двете лица да стапат во работен однос во новооснованото друштво или може само едно?

Проектен тим од две лица, кои се вработени во друга компанија, може да аплицираат за финансиска поддршка по овој инструмент. Во случај кога како Апликант се јавува тим и чиј предлог проект ја поминал фазата на селекција, Апликантот е обврзан во рок од 30 календарски дена по прием на Известувањето за селекција на предлог проектот, да основа трговско друштво во кое како основачи ќе се јавуваат најмалку 51% од членовите на тимот. Значи имаат обврска да влезат во сопственичка структура на новооснованото трговско друштво, но не е задолжително да бидат вработени во него.

  20. Дали правно лице може да се појави како член на проектен тим?

Не, проектниот тим треба да биде составен од најмногу 5 физички лица.
